These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, and related services offered by HASHSPARKS PTE. LTD. (UEN: 202325470E) under the KiasuLabs brand (“KiasuLabs”, “we”, “us”, “our”) (together, the “Services”).
By creating an account, downloading or using our apps, purchasing a subscription, accessing the website, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who may use the Services
The Services are intended for educational use by students, parents or guardians, and, where applicable, teachers, tutors, schools, or other education partners.
- Adults: if you are at least 18 years old, you may use the Services in your own name.
- Users under 18: if you are under 18, you must use the Services only with any consent, supervision, or approval required by applicable law or by your parent or guardian.
- Users under 13: a parent or legal guardian must provide any consent required before an account is created or personal data is submitted, unless an exception under applicable law applies.
- Parents, guardians, schools, and organisations: if you allow another person to use the Services through your account, purchase, classroom, or organisation, you are responsible for ensuring that you are authorised to do so and that the use is appropriate.
2. The Services
KiasuLabs provides study tools and educational features, which may include AI-assisted tutoring, revision support, practice questions, progress tracking, and other learning-related content.
Unless we expressly say otherwise, KiasuLabs is an independent product and is not endorsed by, sponsored by, or affiliated with the Ministry of Education of Singapore, the Singapore Examinations and Assessment Board, Cambridge, or any school, college, tuition centre, or examination authority.
We may add, remove, suspend, or change features where reasonably necessary for product development, maintenance, legal compliance, security, abuse prevention, or operational reasons.
3. Accounts and account security
You may need an account to use some features. You must provide accurate information, keep your login credentials confidential, and promptly notify us if you suspect unauthorised use of your account.
You are responsible for activity that occurs under your account unless the activity is caused by our breach of these Terms or our failure to exercise reasonable care.
We may suspend or restrict access to an account if we reasonably believe the account is compromised, used in breach of these Terms, required to be restricted by law, or necessary to protect users, our systems, or the Services.
4. Acceptable use
You agree not to, and not to help others to:
- use the Services in breach of law, regulation, or third-party rights;
- probe, scan, bypass, or test the vulnerability of our systems or attempt to gain unauthorised access;
- reverse engineer, decompile, disassemble, copy, or create derivative works from our software or non-public parts of the Services except where applicable law expressly permits it;
- use bots, scrapers, scripts, or other automated methods to access or extract data from the Services in a way that harms, overloads, disrupts, or competes with the Services without our written consent;
- submit malware, harmful code, spam, unlawful content, or content intended to harass, threaten, deceive, or exploit others;
- misrepresent your identity, age, school, affiliation, achievements, or authority;
- upload, submit, or use content that infringes copyright, confidentiality, privacy, or other rights;
- use the Services to cheat, break school or examination rules, impersonate another person, complete assessed work dishonestly, or generate content for submission where your school, teacher, or institution forbids that use;
- use the Services to build, benchmark, or train a competing product or model using our content, outputs, or proprietary materials, except where we expressly allow it; or
- interfere with other users’ access to the Services.
5. Subscriptions, purchases, and billing
Some features may be free and others may require payment. Prices, plan features, billing cycles, renewal terms, and trial terms will be shown to you in the product, at checkout, or on the relevant purchase platform.
Purchases made through Apple App Store, Google Play, or another third-party platform are also governed by that platform’s terms, billing rules, cancellation flows, refund policies, and processing timelines. We do not control those third-party platform terms.
You are responsible for any applicable taxes, duties, or charges unless stated otherwise at checkout.
6. Your content
You retain ownership of content you submit to the Services, such as text prompts, answers, messages, and feedback (“Your Content”).
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, display, adapt, and create derivative outputs from Your Content solely to operate, provide, secure, moderate, improve, and support the Services, to comply with law, and as otherwise described in our Privacy Policy.
You represent that you have the rights and permissions needed to submit Your Content and grant this licence.
7. AI outputs and educational limitations
The Services may generate or present AI-assisted explanations, summaries, model answers, revision guidance, quizzes, or marking-style feedback. These outputs are provided for study support only and may be incorrect, incomplete, biased, out of date, or unsuitable for a particular student or assessment.
You remain responsible for checking important facts, deciding how to use any output, and following your school, exam, academic integrity, or institutional rules. KiasuLabs is not responsible for decisions you make in reliance on AI-generated output.
8. Intellectual property
The Services, including our software, branding, design, databases, curated content, graphics, and other materials, are owned by us or our licensors and are protected by intellectual property laws.
Except for the limited rights expressly granted in these Terms, we reserve all rights. You may not use our name, logos, or branding without our prior written permission.
9. Third-party services
The Services may rely on or link to third-party services, including hosting providers, authentication services, payment processors, analytics tools, app stores, and AI model providers. We do not control third-party services and are not responsible for their independent acts, omissions, content, or policies.
10. Privacy
Our collection, use, disclosure, storage, and other processing of personal data is described in our Privacy policy, which forms part of your agreement with us.
11. Account deletion and service termination
You may stop using the Services at any time. If you created an account, you may request deletion of your account using the in-app deletion flow where available, through the deletion request method listed in our Privacy Policy, or by contacting us.
We may suspend, restrict, or terminate access to the Services if you materially breach these Terms, create risk or legal exposure for us or others, misuse the Services, fail to pay amounts due, or where we are required or reasonably entitled to do so by law or platform rules.
Suspension or termination does not affect rights or obligations that by their nature should survive, including payment obligations accrued before termination, intellectual property rights, disclaimers, liability limitations, indemnities, and dispute provisions.
12. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. We do not promise that the Services will always be available, uninterrupted, secure, error-free, or suitable for every learner, curriculum, device, or assessment context.
To the maximum extent permitted by law, we disclaim warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, and non-infringement, except to the extent such warranties cannot lawfully be excluded.
13. Limitation of liability
To the maximum extent permitted by applicable law, KiasuLabs and its directors, officers, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, opportunity, exam results, or data, arising out of or related to your use of the Services.
To the maximum extent permitted by applicable law, our total aggregate liability for claims arising out of or relating to the Services or these Terms will not exceed the greater of:
- the amount you paid us directly for the Services in the twelve (12) months before the event giving rise to the claim; or
- one hundred Singapore dollars (SGD 100), if you have not paid us directly for the Services.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
14. Indemnity
To the extent permitted by applicable law, if you are an adult user or acting on behalf of a school, organisation, or business, you agree to indemnify and hold harmless KiasuLabs and its directors, officers, employees, and contractors from claims, damages, losses, liabilities, and reasonable costs (including legal fees) arising from:
- Your Content;
- your misuse of the Services;
- your breach of these Terms; or
- your violation of law or third-party rights.
This indemnity does not apply to the extent a claim is caused by our wilful misconduct, fraud, or gross negligence.
15. Governing law and disputes
These Terms are governed by the laws of the Republic of Singapore, excluding conflict-of-law rules.
Subject to any non-waivable rights you may have under applicable consumer law, the courts of Singapore will have exclusive jurisdiction over disputes arising out of or related to these Terms or the Services.
16. Changes to these Terms
We may update these Terms from time to time. We will post the revised version on this page and update the “Last updated” date. If a change is material, we may provide additional notice through the Services, by email, or by another appropriate method. Continued use of the Services after the updated Terms take effect means you accept the revised Terms.
17. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law. Our failure to enforce any provision is not a waiver of that provision.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganisation, or sale of assets.
These Terms, together with any additional terms presented for a specific feature or plan and our Privacy Policy, form the entire agreement between you and KiasuLabs regarding the Services.
